Agreement Overview
Acceptance
By using Nowledge Mem, you agree to these terms. If you don't agree, please don't use our software.
Eligibility
You must be at least 13 years old to use Nowledge Mem. If you're under 18, please have a parent or guardian review these terms.
Updates
We may update these terms occasionally. Continued use after changes means you accept the new terms.
Scope
These terms apply to the Nowledge Mem software, website, and official connectors provided by Nowledge Labs, Inc. They set general rules for use; the Privacy Policy explains data practices for optional hosted workspaces.
Your Rights & Responsibilities
Your Data, Your Ownership
All content you create, store, or process with Nowledge Mem belongs to you. We make no claim to your memories, notes, or knowledge graphs. Local content stays on your device; content you explicitly place in Nowledge Cloud is stored by us as described in our Privacy Policy.
Acceptable Use
You agree to use Nowledge Mem lawfully and responsibly. You will not:
- •Reverse engineer, decompile, or attempt to extract the source code
- •Use the software for any illegal purpose
- •Redistribute or resell the software without authorization
- •Remove or alter any proprietary notices or labels
Third-Party Integrations
When you connect Nowledge Mem to third-party services (AI providers, note apps, etc.), you're also subject to their terms of service. We're not responsible for third-party services' availability, security, or practices.
Intellectual Property
Our Software
Nowledge Mem software, including its code, design, and documentation, is owned by Nowledge Labs and protected by intellectual property laws. We grant you a limited, non-exclusive license to use the software for personal or business purposes.
Open Source Components
Nowledge Mem includes open source components governed by their respective licenses. These licenses are available in our documentation and take precedence for those specific components.
Disclaimers & Limitations
"As Is" Provision
Nowledge Mem is provided "as is" without warranties of any kind, express or implied. We don't guarantee the software will be error-free, uninterrupted, or meet your specific requirements.
Limitation of Liability
To the maximum extent permitted by law, Nowledge Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities.
Data Responsibility
You are responsible for backing up device-local data, which we cannot recover because we do not have it. Hosted workspace data follows the access, backup, retention, export, and deletion practices in our Privacy Policy.
General Terms
Termination
You may stop using Nowledge Mem at any time. We may terminate or suspend access to our software if you violate these terms. Upon termination, your license to use the software ends. Local data remains on your device; hosted data follows the retention and deletion practices in our Privacy Policy.
Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Severability
If any provision of these terms is found unenforceable, the remaining provisions will continue in effect.
Entire Agreement
These terms, along with our Privacy Policy, constitute the entire agreement between you and Nowledge Labs regarding use of Nowledge Mem.
